Amendments to By-Law:
By-law No. 1 of the Corporation is hereby amended by:
1. Deleting the provisions of paragraphs A and B of section 5 respecting Conditions of Membership, in their entirety, and replacing them with the following:
“A. Membership in the Corporation shall be limited to persons interested in furthering the purposes of the Corporation and shall consist of anyone whose application for admission as a member has received the approval of the Board.
B. Membership shall include the following: any person, lay or professional, may become a member of the Corporation. Such an individual shall remain a member in good standing provided no action of the individual is deemed by the Board to be inconsistent with the stated purpose of the Corporation.”
2. Deleting the provisions of paragraph B of section 7 respecting Board of Directors in their entirety and replacing them with the following:
Rationale for Amendments:
1. Section 5, paragraphs A & B, regarding Membership. The amendments in paragraph A are minor wording changes, which do not change the meaning of the paragraph except to say that Members are interested in further the purposes, rather than objects, of the Corporation.
Paragraph B originally stated that a Member had to pay an annual membership fee and remain in good standing through the payment of annual fees; otherwise they may be removed as a member. It was decided in 2009 that we would not charge membership fees so this paragraph has been amended to delete any mention of fees and to state that anyone shall remain in good standing as a member provided they have not done anything that is deemed by the Board to be inconsistent with the stated purposes of the Corporation.
2. Section 7, paragraph B, regarding the composition of the Board of Directors. The existing By-Law permits up to 12 Board members, limited to no more than 2 from any one Province or Territory. The proposed amendment is to delete the limitation on Board Members from any one Province or Territory, the rationale being that it has been difficult to find Board members from some Provinces/Territories while in Provinces/Territories that are already represented by two Board Members there are willing and capable volunteers who would add strength to the Board. It remains the intention of the Corporation to have Board representation from all Provinces, Territories and regions where willing and capable volunteers can be found.
These amendments will be made by the adoption of By-Law No. 2, which will be submitted to the Annual General Meeting for approval. By-Law No. 2 is a by-law amending By-Law No. 1 as noted above. Your Board considers that the adoption of By-Law No. 2 as it relates to Section 7, paragraph B, will allow for a more active and involved Board furthering the purposes of the Canadian Spondylitis Association.
